Licensing Deals 101: Key Terms, Royalties & Red Flags

Licensing your invention can be a lucrative way to bring it to market, but understanding the terms is essential. A licensing deal lets you retain ownership of your IP while a licensee handles manufacturing, distribution, and sales. You earn royalties — typically a percentage of the wholesale price, not retail.

Before signing, pay close attention to key contract elements:

  • Scope of the license – patents, designs, trademarks, know-how

  • Territory & sales channels – where and how your product can be sold

  • Exclusivity & term – is it exclusive, for how long, and under what conditions

  • Milestones & minimums – deadlines, first orders, and minimum royalty guarantees

  • Royalties & deductions – define “net sales” and cap allowable deductions

  • Reporting & audit rights – ensure you can verify all royalty payments

  • Quality control & future improvements – retain some control over product use and next-gen versions

  • Sublicensing, indemnity & termination – clarify who can sublicense and under what terms, and protect yourself legally

Be aware of common red flags that can stall or devalue your deal:

  • Undefined “option periods” with no payment or commitment

  • Vague royalty calculations or missing minimums/milestones

  • Unlimited sublicensing or loss of future improvements

  • One-way indemnity or no insurance proof

INVENTION HISTORY: December 1, 1948: Scrabble's copyright registered.

The holiday season is the perfect time to gather with family and enjoy a fun board game. Why not try a classic like Scrabble, where wordplay meets friendly competition?

Scrabble has an interesting history: it was originally designed in 1931 by architect Alfred Mosher Butts as Lexico, a game without a board where players scored points for words. Later, he added the 15-by-15 grid and tile rack, calling it Criss-Crosswords. After a rejected patent and difficulty selling it, the game was shelved—until James Brunot stepped in.

Brunot refined the rules, rearranged premium squares, renamed it Scrabble, and received the copyright on December 1, 1948. Production started small in the Brunots’ living room, but by 1952 demand had grown so much that Macy’s began selling it, and Scrabble eventually became a household name, with over 150 million sets sold worldwide.
